Welcome to my professional portfolio website. These Terms & Conditions govern the agreement between you (the "Client") and me, John Samwani (the "Developer"), for the provision of professional web development and software consulting services.
1. Proposal & Project Milestones
For custom development projects, a structured project proposal detailing milestones, scope, deliverables, and estimated completion schedules will be provided. Any modifications to the project scope after the sign-off must be agreed upon in writing and may incur additional charges.
2. Payment & Invoicing
Payment terms are outlined below:
- Retainer Deposit: A deposit (typically 30% to 50%) is required before work commences.
- Milestone Billing: Progress payments are invoiced upon completion of defined stages.
- Stripe Processing: Invoices are sent via the client portal and are payable securely through Stripe. Payment is due within 14 days of the invoice date unless otherwise specified.
- Late Payments: I reserve the right to suspend development or withhold files if invoices remain outstanding past the due date.
3. Intellectual Property Rights
Upon receipt of full and final payment, intellectual property rights for the custom codebase, designs, and content generated specifically for the client transfer entirely to the Client. I retain rights to open-source libraries, pre-existing boilerplate frameworks, and components utilized during development.
4. Client Confidentiality
I respect your proprietary information. Any materials, credentials, access tokens, API secrets, or business data shared with me during our project engagement will be kept strictly confidential and will not be disclosed to any third party without your explicit consent.
5. Revisions & Post-Launch Support
Each proposal includes a specified number of revisions during the development phase. Once a website is deployed and sign-off is completed, any subsequent changes, feature updates, or server maintenance are billed hourly. Standard post-launch security support (covering hosting bugs or critical crashes) is provided for 30 days post-deployment.
6. Limitation of Liability
While I write clean, secure, and production-tested systems, I am not liable for business losses, server downtime, security breaches on client-hosted infrastructure, API deprecations by third parties (like Stripe, Google, or OpenAI), or lost profits arising from the use or inability to use the custom software.
7. Governing Law
These terms and any disputes arising from project agreements shall be governed by and construed in accordance with the laws of the jurisdiction where the Developer operates.
